Map Resources Multi-Seat License Agreement

This Agreement is between Map Resources, of Lambertville, New Jersey and the LICENSEE named on the Map Resources Multi-Seat License Order Form, herein referred to as the “LICENSEE”.

Grant of Rights

This license grants LICENSEE the following:

1. The right to provide multi-seat access to the Map Resources collection (up to the number of seats indicated in the associated Map Resources online order or the Map Resources Order Form).

2. Use of map images in accordance with the terms of the Map Resources Standard Royalty Free License.

Proprietary Rights

Map Resources map images, in whole or in part, are owned by Map Resources, and are protected by all copyright laws with all rights reserved. All intellectual and proprietary rights therein are and remain the property of Map Resources.

Term

The term of this license is perpetual, unless terminated. This Agreement will terminate if LICENSEE fails to comply with any term or condition of this agreement. Upon termination, you agree to destroy all copies of the Map Resources Map Images.

Limitations on Warranties and Liability

All implied warranties on this media, software, and manual, including implied warranties of merchantability and fitness for a particular purpose, are limited to thirty (30) days from the date of the original retail purchase of this product.

Neither Map Resources nor any of its suppliers make any warranty or representation, either express or implied, with respect to the software described in this manual, its quality, performance, merchantability, or fitness for any particular purpose. The map file is sold "as is." The purchaser assumes the entire risk as to its quality and performance. In no event will Map Resources, or its suppliers be liable for direct, indirect, special, consequential, or incidental damages resulting from any defect in the map images, even if they have been advised of the possibility of such damages. In particular, they shall have no liability for any programs or data used with Map Resources products, including the cost of recovering or reproducing these programs or data.

The warranty and remedies set forth above are exclusive and in lieu of all others, oral or written, express or implied. No Map Resources employee, dealer, or agent is authorized to make any modification, extension, or addition to this warranty. Some states do not allow the exclusion of implied warranties or liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you. This warranty gives you specific legal rights, and you may have other rights that vary from state to state.

Miscellaneous

This AGREEMENT is the entire agreement between Map Resources and LICENSEE concerning the Images. This AGREEMENT may not and cannot be assigned or transferred to a Use other than that stated above. This AGREEMENT can only be modified by a properly signed written agreement. This License shall be governed by and construed under the laws of New Jersey. The prevailing party in any legal action to enforce this AGREEMENT shall be entitled to reasonable attorney's fees and costs.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement by their duly authorized representatives as of the date indicated below.

Entire Agreement

This agreement constitutes the entire agreement between the parties, and shall not be modified except by written agreement executed by both parties.
